These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (“User” or “Client”) and Life and Business Coaching LLC (“Company”, “we”, “us”, or “our”), the owner and operator of the website, as well as any in-person coaching, workshops, seminars, online services, and related services provided by the Company. By accessing, using, or engaging in any of the services offered by the Company, you agree to comply with and be bound by these Terms and Conditions, including any amendments or updates thereto. If you do not agree to these Terms and Conditions, you must immediately discontinue use of the website and any associated services.

1. Acceptance of Terms

By accessing, using, or submitting your information through any means (including, but not limited to, through the website, online sessions, or in-person engagement with our services), you acknowledge and agree to be bound by these Terms and Conditions, the Privacy Policy, and the Legal Notice of Life and Business Coaching LLC. If you do not agree to these terms, you must not use the website or engage in any of the Company’s services, whether online or in-person.

2. Services Provided

Life and Business Coaching LLC provides a range of services, including but not limited to:

• Online coaching (one-on-one and group sessions)
• Workshops and seminars (both in-person and virtual)
• Business and life development services, including strategic coaching, personal coaching, and professional growth.

These services may include in-person sessions, meetings, coaching, workshops, and related activities (collectively, the “Services”). The Company does not provide any professional legal, medical, financial, or psychological advice, and any information or guidance provided through the Services should not be construed as such.

3. User Responsibilities

By engaging with our Services, you agree to:

• Provide accurate, complete, and truthful information.
• Conduct yourself in a professional and respectful manner during all coaching sessions, workshops, seminars, or any other form of interaction, whether virtual or in-person.
• Not engage in any illegal or harmful activities while using the website, participating in coaching, or attending workshops and seminars.
• Use the Services in accordance with all applicable local, state, federal, and international laws.

You are solely responsible for the content and behavior you display when using our Services, and Life and Business Coaching LLC reserves the right to suspend or terminate access to Services if you violate these Terms and Conditions.

4. Behavioral Expectations

You agree to conduct yourself in a respectful, professional, and appropriate manner during all interactions with Life and Business Coaching LLC, whether online or in-person. This includes, but is not limited to, coaching sessions, online webinars, workshops, seminars, group sessions, and any other interactions. Specifically:

Online Sessions: During virtual coaching sessions, webinars, or any other online interactions, you are expected to maintain respectful conduct. Inappropriate behavior, including but not limited to offensive language, harassment, or disruptive actions, will not be tolerated.

In-Person Services: You must adhere to all professional standards and respect the rights of others attending any in-person services, including coaching sessions, workshops, and seminars.

Workshops and Seminars (Online & In-Person): During workshops and seminars (whether conducted online or in-person), you must engage in a manner that promotes a positive and productive environment. Disruptive, disrespectful, or inappropriate behavior may result in the immediate termination of participation in the event, without refund.

Failure to meet the behavioral expectations outlined herein may result in suspension or termination of Services, at the sole discretion of Life and Business Coaching LLC, and may involve a permanent ban from participating in future services, without a refund of any fees paid.

5. In-Person Services

The Company also offers in-person coaching services, including, but not limited to, one-on-one sessions, group workshops, and seminars. By engaging in these services, you acknowledge and agree to the following:

Assumption of Risk: You voluntarily assume all risks associated with attending in-person events, including but not limited to personal injury, property damage, or loss, and agree to hold Life and Business Coaching LLC, its employees, agents, and affiliates harmless from any and all claims, damages, or liabilities arising from such risks.

Health and Safety: If you are attending an in-person session or workshop, you agree to comply with all health and safety guidelines established by the Company. The Company reserves the right to deny entry to any individual who fails to comply with such measures.

Behavioral Expectations: During any in-person interaction, you agree to behave in a manner that is respectful to all other participants and the Company’s representatives. Failure to comply with behavioral expectations may result in immediate termination of the session without refund.

6. Fees and Payment Terms

6.1 Service Fees: The fees for services provided by Life and Business Coaching LLC are determined on an individual basis, based on the specific services required and the client’s needs. A detailed fee agreement will be provided to you upon inquiry or at the time of booking, which will outline the fees applicable to your selected service(s).

6.2 Payment Terms: Payment for services must be made in full as agreed upon in the fee agreement between you and Life and Business Coaching LLC. Payment schedules or installment plans may be offered at the Company’s discretion, but must be specifically outlined in the written agreement prior to the commencement of services.

6.3 Late Payments and Additional Fees: Payments are due according to the terms outlined in the fee agreement. In the event that payment is not made on time, the Company reserves the right to charge a late fee of $20 or 20% (whichever is greater) or as otherwise specified in the agreement. If payment is not received within 30 days, the Company reserves the right to suspend or terminate services, including but not limited to access to any online materials, coaching sessions, or workshops, until payment is made in full.

6.4 Non-Refundable Fees: All fees paid for services are non-refundable, except in cases where the Company fails to fulfill its obligations under this Agreement. If you wish to cancel any service or session, you will not be entitled to a refund of any fees paid, except as required by law.

6.5 Authorization for Payment: By agreeing to these terms, you authorize Life and Business Coaching LLC to process payment through the payment method provided at the time of booking or as otherwise agreed upon in the individual fee agreement. You are responsible for ensuring that your payment method is valid and up to date.

6.6 Outstanding Balances and Legal Action: If you fail to make payment in full according to the agreed terms, the Company reserves the right to take appropriate action to recover the outstanding balance. This may include pursuing civil action to recover the debt and any associated costs, including attorney’s fees. In certain circumstances, the Company may also pursue criminal charges for fraud or other criminal offenses related to non-payment.

6.7 Taxes: You agree to be responsible for any applicable taxes, duties, or other fees that may be imposed by governmental authorities in connection with the services provided under this Agreement. The Company will inform you of any applicable taxes before processing payment.

6.8 Refunds and Exceptions: Except as required by applicable law, no refunds will be issued for any services rendered by the Company. Refunds, if any, are solely at the discretion of the Company and will be determined on a case-by-case basis in accordance with applicable laws and regulations.

7. Intellectual Property

All content on the website, including but not limited to text, graphics, logos, designs, photographs, videos, and other intellectual property, is owned by Life and Business Coaching LLC or its licensors. You may not reproduce, distribute, modify, display, or create derivative works based on any of the content without express written consent from the Company.

In-person coaching materials, workshop content, and any related materials provided during the Services are the exclusive property of Life and Business Coaching LLC, and you agree not to share, distribute, or use them outside of the provided session or workshop without express written permission

8. Privacy Policy

Your use of the website and engagement with our Services is governed by our Privacy Policy, which is incorporated into this Agreement. By using our Services, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy. If you do not agree with the terms of the Privacy Policy, you must immediately discontinue using the Services.

9. Disclaimers and Limitation of Liability

Life and Business Coaching LLC provides the website and Services "as is" and without any warranty of any kind. To the maximum extent permitted by law, Life and Business Coaching LLC disclaims all express and implied warranties, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

In no event shall Life and Business Coaching LLC or any of its agents, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, or business interruptions, arising out of or in connection with your use of the website or Services, whether based on contract, tort, or any other legal theory.

This limitation of liability shall apply regardless of whether Life and Business Coaching LLC has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Life and Business Coaching LLC, its officers, directors, employees, agents, representatives, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or in connection with:

• Your use of the website or Services.
• Any breach of this Agreement.
• Your conduct during any in-person sessions or workshops.
• Your violation of applicable laws, regulations, or rights of third parties.

11. Termination

Life and Business Coaching LLC reserves the right to suspend, terminate, or restrict access to the Services, either temporarily or permanently, at its sole discretion, for any reason, including but not limited to a violation of these Terms and Conditions. Termination of services will not affect any accrued rights or obligations.

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by, and construed in accordance with, the laws of the state in which Life and Business Coaching LLC is based. Any disputes arising from these Terms and Conditions shall be resolved in the courts located within the jurisdiction of the state in which the Company operates.

13. Arbitration Agreement

Any disputes arising between you and Life and Business Coaching LLC shall be resolved exclusively through binding arbitration, conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where the Company is based.

14. Changes to Terms and Conditions

Life and Business Coaching LLC reserves the right to modify or amend these Terms and Conditions at any time. Any changes will be posted on this page with an updated "Last Updated" date. You agree to review these Terms and Conditions periodically to stay informed of any changes.
